【Cross-Border IPO】

• Represented Agricultural Bank of China, primarily participating in the Bank’s “A+H” IPO listing. Responsibilities included drafting the IPO prospectus, reviewing and revising key transaction documents. This IPO was the record largest IPO;

【International Project Financing】

• Represented Agricultural Bank of China, acted as a key participant in the Tangguh-Papua LNG project in Indonesia. The project was supported by a syndicate of five Chinese state-owned banks, with British Petroleum as the sponsor. Together with three syndicates from Japan and North America, a total of USD 3.4 billion was provided under a trustee-borrowing structure to finance the development, transportation, and domestic storage of liquefied natural gas explored from the Tangguh region of Indonesia；

【Aircraft Financing and Cross-Border Asset M&A】

• Acted for the Henan branch of a Chinese policy bank in handling aircraft leasing disputes and disposing of one B737-800 aircraft. This project involves English law, New York law and Washington State law of the U.S.A;
• Represented a private finance leasing company in the sale of 22 commercial aircrafts located in Belt and Road Initiative countries to the internationally renowned alternative investment firm Castlelake, and participated in the transfer or novation of more than 20 aircraft finance leasing for the client;

【Overseas Equity Investment】

• Advised a Chinese governmental Africa development fund in exiting its investment in a corporate structure involving Hong Kong, Mauritius, and Madagascar;

【Cross-Border Loans】

• Advised the Anhui branch of a Chinese policy bank in a cross-border investment loan project to a German borrower;
• Advised the Beijing branch of a national joint-stock bank, assisting the bank in providing a long term facility to support railway building project in Tanzania;

【Cross-Border Default Settlement and Liquidation】

• Advised a Chinese state-owned commercial bank by reviewing key documents, including the Standstill Agreement, during the liquidation proceedings of a listed real-estate company in Hong Kong; 
• Advised the Anhui branch of a Chinese state-owned commercial bank regarding creditor claims during the Hong Kong debt restructuring of a real estate group, assisted in the registration and enforcement of two PRC domestic judgments in Hong Kong;
• Advised a Chinese policy bank on the impact of the Evergrande liquidation order on the rights and interests of its creditors;

【Cross-Border Asset Investigation and Litigation】

• Conducted investigation on the overseas assets of the controlling family of a debtor (a listed group company) located in Hong Kong and Singapore for a provincial branch of a Chinese policy bank, investigated related-party transactions which were suspected to transfer assets overseas prior to the debtor’s bankruptcy, analyzed overseas litigation strategy based on lawful conspiracy as the cause of action;
• Provided legal services to the Henan branch of a Chinese policy bank in investigating the overseas (Hong Kong and France) company assets of a debtor;

【Counter-sanctions】

• Provided international sanctions compliance consulting services for the head office of a Chinese state-owned commercial bank involving the United States, the United Kingdom, and the European Union. Services include providing interpretation of sanctions laws and regulations, developing compliance manuals, assessing compliance system, and compliance training;
• Assisted a large Chinese state-owned bank in interpreting U.S. sanctions against Russia under Executive Order 14114, the list of designated entities and items published by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), as well as the latest import and export commodity coding standards issued by customs authorities of China and the United States, helping the bank to develop product coding lists and guideline documents with respect to these policies;

【Cross-border Litigation】

• Advised a large Chinese state-owned commercial bank regarding the registration and enforcement of judgments against a listed real-estate company in Hong Kong;
• Acted for a Chinese national client in a disputed cross-border guarantee case in Hong Kong court with a guaranteed amount approximately 200 million USD;
• Advised multiple high-net-worth clients with mainland-Hong Kong marriage and divorce matters;

【Domestic Litigation in the PRC】

• Acted for a state-owned financial institution in litigation against an auditing firm for breach of duty of care related to a listed company’s debtor default and bankruptcy, potentially the first such case domestically;
• Acted for a state-owned financial institution in litigation against a state-owned public institution for its guarantee liability;
• Acted for dozens of homeowners in their group litigation against the developer and its creditor on the seizure of parking spaces of the residential community.
