Our private equity funds team specializes in handling the establishment, fundraising, licensing and compliance of private equity funds, real estate investment trusts, hedge funds, collective investment schemes and venture capital funds, as well as downstream investments. Our clients include investment managers and consultants, sponsors, promoters, trustees, fund service providers, institutional and retail investors (including professional and non-professional investors), venture capitalists, family offices, and start-up companies from worldwide.

We specialize in providing legal advice on the establishment of onshore and offshore fund structures, including single funds, umbrella funds, master-feeder funds, unit trusts, limited partnerships and segregated portfolio companies. Our firm provides all-round services from colleagues from various departments and practice groups including M&A, corporate finance, financial compliance and real estate. In addition, our firm maintains close contact with Meritas member firms, enabling our clients to access legal services from all over the world for cross-border and international fund services.

SERVICES PROVIDED INCLUDE:

  • Assisting in the structuring and establishment of onshore/offshore funds in open-end, closed-end or other forms, including single funds, umbrella funds, master-feeder funds, unit trusts, limited partnerships and segregated portfolio companies in various industry sectors ranging from real estate development, auto parts manufacturing to financial and investment services
  • Advising on various fundraising schemes in Hong Kong, including public and private fundraising schemes in debt and equity capital markets, cross-border trusts, investment funds, venture capital and crowdfunding platforms
  • Providing legal advice to fund investors and advising investors on pre-listing investment agreements and structure
  • Assisting clients in the application for licence(s) from the SFC and advising on compliance requirements in respect of regulated activities, including application of licences and registration for regulated activities, custodian arrangements, securities laws and regulations, foreign exchange control, tax and management and administration of funds
  • Reviewing and revising loan, guarantee and mortgage documentations and drafting documentation for new financial products for security firms
  • Other fund-related advisory work, including corporate governance, joint venture, strategic alliance, M&A, listings, investor rights and exit mechanisms
  • Assisting clients in establishing and investing in start-up companies, legal documentation drafting and advisory work
