Experience
- Advising clients generally on incorporation of Hong Kong and off-shore corporations and company secretarial works
- Mergers and acquisitions, restructuring and disposal of companies and businesses in Hong Kong and elsewhere
- Corporate and commercial transactions covering joint ventures and shareholders' agreements, collaboration agreements, hotel management, agency, distribution and franchising arrangement, licensing and other commercial contracts
- Working with lawyers in the Mainland China and foreign lawyers on cross-border projects
- Advising clients on various aspects of corporate issues such as equity investment, corporate re-structuring, share buy-back, capital reduction, shareholders and board disputes and liquidation matters
- Setting up not-for-profit companies, applying for the licence to dispense with the word “Limited” in the company name and applying for tax exemption on the ground of charity
- Preparing joint venture contracts, articles of association and other documents relating to the establishment of equity or cooperative joint ventures in the Mainland China
- Advising banks in Hong Kong and their branches in the Mainland on various loan transactions
- Advising banks in Hong Kong and their branches in the Mainland on various products including deposits and structured investment products
- Preparing loan agreement, mortgage contract of PRC properties, guarantee, share charge, debenture and other security documents
